Referral Programme Terms

These Referral Programme Terms (the Terms) govern participation in the Sonsoto Referral Programme (the Programme).

The Programme is operated by Hana Global Expansion FZCO, trading as Sonsoto, together with any Sonsoto affiliate or approved local delivery partner involved in providing a referred service (Sonsoto, we, us, or our).

By submitting a referral, you (Referrer, you, or your) agree to these Terms and the applicable Referral Schedule.

1. The Programme

You may introduce prospective clients to Sonsoto for business setup, corporate services, immigration, banking support, compliance, and any other services that Sonsoto makes eligible from time to time.

A referral may be submitted through:

• a Sonsoto referral account;
• an approved Sonsoto referral form;
• a unique Sonsoto referral link; or
• another written method approved by Sonsoto.

A Referred Client is the person or business you introduce to Sonsoto.

2. Who can refer

You may participate if you:

• are at least 18 years old;
• submit accurate and complete information;
• have permission to introduce the Referred Client;
• comply with applicable laws, professional duties, and marketing rules; and
• accept these Terms.

You may refer clients as an individual, business owner, advisor, accountant, lawyer, consultant, agent, banker, or other introducer.

You do not need to be an existing Sonsoto client unless the applicable Referral Schedule says otherwise.

Basic Referrer Verification

You must complete Sonsoto's basic Referrer verification before Sonsoto pays any referral reward.

Sonsoto may also require verification before accepting a referral, granting access to referral tools, or allowing repeated referrals.

Basic Referrer verification may include:

• full legal name;
• date of birth;
• residential or business address;
• mobile number and email address;
• government-issued identification;
• bank-account or payment-account details;
• tax information; and
• any other information reasonably required to confirm identity, payment eligibility, or compliance status.

Where the Referrer is a business, Sonsoto may require information and documents for the business, its authorised representative, and its beneficial owners or controllers.

Sonsoto may suspend, reject, or delay a referral reward until verification is complete and satisfactory.

3. When a referral qualifies

A referral qualifies only when all of the following apply:

• you submit it through an approved Sonsoto channel before Sonsoto has received an enquiry from the same client;
• the client is not already a Sonsoto client, former client, active lead, or known prospect;
• you provide enough information for Sonsoto to identify and contact the client;
• you have permission to share the client's details and for Sonsoto to contact them;
• Sonsoto accepts the referral;
• the client completes Sonsoto's required onboarding, compliance, KYC, AML, sanctions, and risk checks;
• the client signs for an eligible service and pays the applicable Sonsoto invoices in full; and
• the service reaches the qualifying completion point in the applicable Referral Schedule.

Sonsoto decides whether a referral is new, eligible, duplicate, already known, accepted, or completed.

4. Referrals that do not qualify

You will not earn a reward for:

• yourself, your employer, your own company, or an entity you control;
• a company with shared directors, shareholders, partners, or beneficial owners, unless Sonsoto approves it in writing before submission;
• a duplicate, existing, historical, or already-known client;
• a referral submitted without the client's permission;
• a client that does not complete required compliance checks;
• a service that is cancelled, refunded, disputed, unpaid, written off, or reversed;
• false, incomplete, misleading, spam-based, deceptive, or unlawful referrals;
• any attempt to manipulate the Programme, create duplicate accounts, or use false identities;
• referrals for which the Referrer does not complete required Referrer verification or cannot provide valid payment details; or
• government fees, taxes, bank charges, visa charges, office rent, insurance, third-party charges, or other pass-through costs.

5. Reward amount

The reward for an eligible referral is set out in the applicable Referral Schedule or written referral agreement.

The Referral Schedule will state:

• the applicable market;
• eligible services;
• the reward amount or rate;
• the reward currency;
• the qualifying completion point; and
• any exclusions or campaign-specific conditions.

Unless the Referral Schedule says otherwise:

• the reward is a one-time payment per completed Referred Client;
• the reward is calculated only on eligible Sonsoto service fees actually received by Sonsoto;
• the reward excludes taxes, government fees, third-party charges, discounts, refunds, credits, chargebacks, and pass-through costs; and
• no recurring commission is payable unless specifically stated in writing.

6. Payment

A reward becomes payable only after:

• the referral qualifies;
• the client has reached the applicable completion point;
• Sonsoto has received all applicable payments in cleared funds;
• any cancellation, refund, dispute, or clawback period has passed;
• you have completed basic Referrer verification; and
• you have supplied valid payment and identity details.

Unless the applicable Referral Schedule states otherwise, Sonsoto will pay approved rewards within 30 days of service completion.

Sonsoto may verify a Referrer at onboarding, before the first reward payment, periodically during participation, or whenever Sonsoto reasonably considers further verification necessary. Sonsoto may use third-party verification providers, screening tools, or payment providers for this purpose.

You are responsible for your own taxes, reporting obligations, bank charges, currency-conversion charges, and other costs related to receiving a reward.

7. Status updates

Where practical, Sonsoto may make referral status, owner, and next-step information available through your Sonsoto account.

Status updates are subject to the Referred Client's consent, confidentiality, data-protection requirements, and Sonsoto's compliance obligations.

Sonsoto controls service delivery, client onboarding, compliance, pricing approval, scope, documentation requirements, and operational decisions.

8. What you may not do

You must not:

• claim to represent Sonsoto unless Sonsoto authorises you in writing;
• quote or guarantee prices, approvals, processing times, visas, licences, banking outcomes, regulatory outcomes, or service availability on Sonsoto's behalf;
• make misleading claims about Sonsoto or the services;
• use Sonsoto's name, branding, logos, marketing materials, referral links, domains, paid advertising, or social accounts without permission;
• send spam or conduct marketing that violates applicable law;
• offer or accept anything that could breach anti-bribery, professional-conduct, conflict-of-interest, or disclosure rules; or
• interfere with Sonsoto's service delivery, compliance process, or direct communications with the Referred Client.

9. Data and compliance

You confirm that you have a lawful basis to share the Referred Client's details with Sonsoto and for Sonsoto to contact them.

Sonsoto may collect, use, store, verify, and share Referrer information with identity-verification, sanctions-screening, fraud-prevention, payment, tax, and compliance providers where reasonably necessary to administer the Programme, prevent abuse, process a reward, or comply with applicable law.

Sonsoto may process personal data to:

• assess the referral;
• contact and onboard the client;
• perform compliance, KYC, AML, sanctions, fraud, and risk checks;
• deliver services;
• process payments; and
• maintain operational, legal, accounting, and audit records.

Sonsoto will process personal data under its Privacy Policy and applicable data-protection law.

10. Changes, withholding, and clawback

Sonsoto may amend, suspend, or end the Programme, a market schedule, or your participation at any time.

Sonsoto may withhold, cancel, reverse, or recover a reward if:

• the referral was not eligible;
• a client payment is refunded, reversed, disputed, or charged back;
• you breach these Terms;
• the reward was paid in error; or
• Sonsoto reasonably suspects fraud, misrepresentation, abuse, bribery, sanctions risk, or unlawful conduct.

11. No employment or agency

These Terms do not create employment, partnership, joint venture, agency, exclusivity, franchise, or authority for you to bind Sonsoto.

You are not authorised to negotiate, contract, collect money, accept documents, provide regulated advice, or make commitments for Sonsoto unless Sonsoto gives written authority.

12. Liability

To the maximum extent permitted by law, Sonsoto is not liable for indirect, incidental, special, consequential, or loss-of-profit claims connected with the Programme.

Nothing in these Terms excludes liability that cannot legally be excluded.

13. Governing law

These Terms are governed by the laws stated in the applicable Referral Schedule.

Any dispute must be brought before the courts or dispute forum stated in that Referral Schedule, unless mandatory law requires otherwise.
